Soelle AI Studio: Licence & Confidentiality Terms
1. Who this is between. These terms are an agreement between Soelle AI Studio ("Soelle", "we"), and the person or business buying or receiving a Soelle digital product ("you").
2. What is covered. "Products" means every digital product sold or given away by Soelle, including The Muse™, Muse in Motion™, Muse to Money™, The Muse System™ and the Meet Your Muse prompt, with all updates and bonuses.
3. Confidential Materials. "Confidential Materials" means the non-public content of the Products: the master prompts, the build process, its steps and their order, the guides, content monetization plans, templates, workflows and methods, and any notes, screenshots, recordings or summaries made from them.
4. Your licence. When you buy a Product, you receive a personal, non-exclusive, non-transferable licence to use it to create and grow your own AI characters and content. The licence covers one person. A business needs one licence for each person who uses the Product.
5. What you own. The characters, images, videos and other content you create with the Products are yours. You may publish them, sell them and use them commercially, including for client work.
6. Confidentiality. You agree to keep the Confidential Materials private. You will not show, send, post, publish or describe them in detail to anyone else, in public or in private, without our written permission.
7. What you may not do. You will not:
- Share, resell, give away, rent or sublicense the Products or any part of them
- Post the prompts, guides or any part of the build process anywhere, including social media, forums, group chats, prompt marketplaces or public AI tools such as shared or published custom GPTs
- Share your download links or account access
- Use the Products to build, train or improve a competing prompt, course, guide, tool or community
- Reword, translate or repackage the Products and present them as your own
- Buy the Products for the purpose of copying them into a competing offer
8. Using the Products with AI tools. You may paste the prompts into your own private accounts on the AI tools the Products instruct you to use. That use is not a breach of these terms.
9. Ownership. Soelle owns all rights in the Products, including copyright and trademarks. These terms give you a licence to use the Products. They do not transfer ownership of them.
10. What is not confidential. Your duties in section 6 do not apply to information that is already public through no fault of yours, that you knew before buying, or that you created independently without using the Products.
11. All sales final. The Products are digital and delivered immediately, so all sales are final and non-refundable.
12. If these terms are broken. If you breach these terms, we may end your licence and your access immediately, without refund. Unauthorized sharing, reselling, distributing or copying causes Soelle serious and lasting harm, so we may also ask a court to order it to stop and claim every financial loss the breach caused, any profits made from it, and our legal costs, to the full extent the law allows.
13. How long this lasts. Your confidentiality duties continue after your purchase and after your licence ends.
14. Third-party tools. The Products require accounts with third-party tools, which are not included. Those tools have their own terms and may change their features at any time.
15. Governing law. These terms are governed by the laws of Ontario, Canada. Nothing in them removes rights that consumer protection law in your country gives you and that cannot be waived.
16. Agreeing. You accept these terms when you tick the box at checkout, complete a purchase, or download a Product.
